No Breach of Fiduciary Duty to Dissolve Viable LLC
The Appellate Division Second Department holds that the voluntary dissolution of a viable Limited Liability Company over the objection of a minority member does not constitute oppression or breach of fiduciary duty, so long as such dissolution complies with the terms of the Limited Liability Company’s operating agreement.
